1. Acceptance of Terms, Scope of Service & Eligibility

Welcome to GRAVITEX AI Studio ("Service", "Platform"), operated by GRAVITEX AI GLOBAL LLC, a limited liability company organized and existing under the laws of the State of Wyoming, United States of America ("Company", "we", "us", or "our") via https://gravitexai.com and https://app.gravitexai.com. By accessing or using our web application, APIs, vector diagramming canvas, or AI topology generation services, you agree to be bound by these Terms of Service ("Terms").

You must be at least eighteen (18) years of age and capable of forming a binding contract to access or use the Service. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the legal authority to bind such entity to these Terms.

2. Workspace Accounts, Subscriptions & Cancellation Policy

GRAVITEX AI Studio offers tiered SaaS subscription plans, including Starter (Free Trial), Pro, and Team plans. AI generation credits are included in your workspace plan according to your selected tier (Starter includes up to 10 AI architecture generations per day during the free trial quota).

Paid subscriptions are billed in advance on a monthly or annual basis. You may cancel or downgrade your subscription at any time through your workspace billing settings or by contacting [email protected]; cancellations take effect at the end of the current billing cycle with no further recurring charges. Subscription fees are generally non-refundable except where required by applicable law. If you believe a billing error has occurred, please contact [email protected] within thirty (30) days of the charge so our billing team can promptly resolve the issue.

3. Intellectual Property & Customer Data Ownership

You retain all right, title, and interest in and to all prompts, architectural specifications, uploaded files, and the resulting diagrams, XML topologies, and vector exports you create using the Service ("Customer Content").

We claim no ownership rights over your Customer Content. GRAVITEX AI GLOBAL LLC retains all right, title, and interest in and to the GRAVITEX AI Studio platform, underlying software, UI designs, trademarks, and proprietary algorithms.

4. Confidentiality & Security

We implement industry-standard technical and organizational safeguards (including TLS encryption in transit and isolated workspace storage) to protect the security, confidentiality, and integrity of your architectural diagrams and workspace data.

5. U.S. Export Controls & Sanctions Compliance

The Service is subject to United States export control and economic sanctions laws, including the Export Administration Regulations (EAR) and sanctions programs administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC). You represent and warrant that you are not located in any jurisdiction subject to a U.S. government embargo and are not listed on any U.S. government list of prohibited or restricted parties.

6. Disclaimer of Warranties & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AI-GENERATED ARCHITECTURAL DIAGRAMS SHOULD BE REVIEWED BY QUALIFIED ENGINEERS PRIOR TO PRODUCTION DEPLOYMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRAVITEX AI GLOBAL LLC'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00 USD) OR THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Governing Law, Venue & Contact Information

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in the State of Wyoming, and the parties irrevocably consent to the personal jurisdiction and venue therein.
